Terms of Use / End‑User License Agreement | EasyOffice Suite

These Terms of Use ("Terms") form a legally binding agreement between you ("you" or "User") and WunderApps GmbH, Rheinsberger Str. 76/77, 10115 Berlin, Germany ("WunderApps", "we", "our"), governing your download, installation and use of the Easy Office Suite software application, any associated updates, the Easy Office Suite website (https://easyofficesuite.com), and any related services (collectively, the "Service"). By installing, accessing or using the Service you accept these Terms automatically. If you do not agree, do not install or use Easy Office Suite.

1. Definitions

Software – the Easy Office Suite desktop application (Windows/MSIX), including any updates or supplements.
Distribution Channel – either (a) our website (https://easyofficesuite.com) or (b) the Microsoft Store. The feature set and purchase process may vary by channel.
Free Version – a basic tier with limited functionality as described in Section 3.
Paid Version – the unlocked functionality (via subscription or lifetime upgrade) that enables saving/exporting and other premium features.
Subscription – a recurring paid plan (monthly or yearly) granting access to the Paid Version until cancelled or terminated.
Lifetime Upgrade – a one‑time fee that unlocks the Paid Version for the life of the major version purchased.
Content – any documents, data, text or files you open, create, upload or otherwise process with the Service.

2. License Grant

Free Version. We grant you a non‑exclusive, non‑transferable, worldwide license to install and use the Free Version on devices you own or control for your personal or internal business purposes.
Paid Version. Upon (a) timely payment of the applicable fee via the purchase flow powered by LemonSqueezy, and (b) compliance with these Terms, we grant you:
- Subscription License – a non‑exclusive, non‑transferable license to use the Paid Version for the subscription term. The license ends automatically when the subscription expires or is cancelled.
- Lifetime License – a perpetual, non‑transferable license to use the Paid Version for the major version current at purchase. Major upgrades may require a new license.
The Software is licensed, not sold. No ownership rights in the Software are transferred to you.

3. Free Version Limitations

The exact capabilities of the Free Version depend on where you obtained the Software:

Website Version (downloaded from our website). You may open and edit Office‑format files but cannot save or export them.
Store Version (downloaded from the Microsoft Store). Features of the Free Version obtained through the Microsoft Store may differ and certain functions such as printing or spell‑check may be disabled.

In any case the Free Version is provided "as is" and may be changed, limited or discontinued at any time without notice. We have no obligation to provide support, maintenance or updates for the Free Version.

4. Purchases, Billing & No‑Refund Policy

Website purchases. If you buy the Paid Version through our website, checkout is processed by LemonSqueezy (our Merchant‑of‑Record). Prices include applicable VAT unless stated otherwise.
Microsoft Store purchases. If you buy through the Microsoft Store, payment is handled by Microsoft via its in‑app purchase (IAP) system. Your billing relationship is with Microsoft and may be subject to Microsoft's store terms and tax handling.
Subscriptions renew automatically at the end of each billing cycle (monthly or yearly) unless cancelled in the channel where you purchased (LemonSqueezy customer portal or Microsoft account settings).
Lifetime Upgrades are charged once. Keys or entitlements are tied to the purchasing account/email.
No refunds. All fees are non‑refundable to the maximum extent permitted by law and any mandatory Microsoft Store policies. Statutory consumer rights remain unaffected.
Failed or disputed payments may result in immediate suspension of the Paid Version.

5. Intellectual Property & Open‑Source Components

Easy Office Suite and all copyrights, trademarks and other intellectual‑property rights therein remain the exclusive property of WunderApps or its licensors.
Certain individual components are provided under open‑source licenses (primarily the Mozilla Public License v2.0) as identified in the documentation or source code. Nothing in these Terms limits your rights under those licenses.
Except as expressly permitted by mandatory law, you must not (i) resell, sublicense, rent or lease the Software; (ii) reverse engineer, decompile or disassemble it; (iii) remove proprietary notices; or (iv) use it to build competing products.

6. User Responsibilities & Acceptable Use

You shall:

Use the Service only in compliance with applicable laws and these Terms.
Keep license keys and login credentials confidential.
Maintain your own backups of Content; we are not responsible for loss or corruption of files.
Not upload or transmit any Content that is illegal, harmful, infringing, or contains malware.
We may suspend or terminate access for violations.

7. Updates & Changes

We may modify, update or discontinue the Service (or any part of it) at any time. We will endeavour to notify paying users of material changes. Continued use after an update constitutes acceptance of the modified Service and/or Terms.

8. Privacy

Our Privacy Policy explains how we collect and use personal data. By using Easy Office Suite you acknowledge that processing.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non‑infringement. We do not represent or warrant that the Service will be uninterrupted, error‑free, secure, or meet your requirements.

10. Limitation of Liability

To the maximum extent permitted by law, WunderApps shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of data, profits, revenue, goodwill or business interruption, arising out of or related to the use of or inability to use the Service, even if advised of the possibility of such damages.
Cap on Direct Damages. WunderApps' total aggregate liability for all claims under these Terms is limited to the greater of (a) the amount you paid WunderApps for the Paid Version in the previous 12 months, or (b) €10 if you use only the Free Version.
Nothing in these Terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence or for willful misconduct.

11. Indemnification

You agree to indemnify, defend and hold harmless WunderApps, its officers, employees and partners from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of or related to (i) your Content, (ii) your breach of these Terms, or (iii) your violation of any law or third‑party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your license immediately if you materially breach these Terms or if required by law. Upon termination, Sections 5, 8–13 survive.

13. Governing Law & Dispute Resolution

These Terms are governed by German law. If you are a consumer resident in the EU, you also enjoy the mandatory protections of your local consumer laws. You agree that disputes may be resolved in courts located in Berlin, Germany, unless local consumer law grants jurisdiction elsewhere. 14. Severability & Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Failure to enforce any right is not a waiver. You may not assign these Terms without our prior consent; we may assign them to an affiliate or successor. These Terms and referenced policies constitute the entire agreement between you and WunderApps regarding Easy Office Suite.
